TERMS AND CONDITIONS OF SERVICE

1. INTRODUCTION AND ACCEPTANCE

Welcome to FrameX ("Company", "we", "our", "us"), operated by SpectrIQ Solutions. By accessing our website, mobile application, or booking any of our services—including but not limited to Instant Reels, Drone Pilots, Wedding Photography, and Event Coverage—you ("Client", "User") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must strictly refrain from using our services.

2. SERVICE DESCRIPTION & BOOKING MODEL

FrameX operates as an on-demand photography and videography platform connecting Clients with independent freelance creators ("Creators").

  • Availability: All bookings are subject to the availability of Creators in your specific location. FrameX reserves the absolute right to decline any booking request at its sole discretion without assigning a reason.
  • Booking Confirmation: A booking is considered "Confirmed" only when the required advance payment is successfully processed through our platform. Verbal confirmations or unconfirmed inquiries do not constitute a binding contract.

3. PAYMENTS, PRICING, AND INVOICING

  • Pricing Structure: Prices listed on the website are base rates and may be subject to "Surge Pricing" during peak demand periods (e.g., Wedding Season, National Holidays). The final price presented at the time of checkout is binding.
  • Instant Services (Reels/Drones): For services priced under ₹10,000, a 100% advance payment is required to secure the booking.
  • Wedding & Large Events: A non-refundable retainer fee (ranging from 20% to 50% of the total invoice value) is required to block specific dates. The remaining balance must be cleared 48 hours prior to the event start time. Failure to pay the balance may result in service cancellation without a refund of the retainer.
  • Taxes: All prices are exclusive of applicable GST unless otherwise stated.

4. CANCELLATION AND REFUND POLICY

To protect the livelihood of our Creators who block their calendars exclusively for your event, the following cancellation fees apply:

  • Cancellations made 48+ hours before the scheduled shoot: 100% Refund of the booking amount (less a 5% payment gateway processing fee).
  • Cancellations made between 24 and 48 hours before the shoot: 50% Refund of the booking amount.
  • Cancellations made less than 24 hours before the shoot: No Refund (0%).
  • No-Show Policy: If the Client fails to arrive at the location or is unreachable for more than 30 minutes past the scheduled start time, the booking will be treated as a "No-Show" and fully charged.
  • Rescheduling: One (1) reschedule request is permitted free of charge if made at least 72 hours in advance, subject to Creator availability.

5. DRONE OPERATIONS AND WEATHER POLICY (FORCE MAJEURE)

  • Safety & Compliance: Drone operations are strictly governed by the Directorate General of Civil Aviation (DGCA) regulations. The assigned Pilot-in-Command has the final legal authority to refuse or ground a flight if:
    • Wind speeds exceed safety limits.
    • It is raining or snowing.
    • The location is a strict No-Fly Zone (Red Zone) or close to sensitive infrastructure.
  • Weather Disruptions: If a drone shoot cannot be performed solely due to adverse weather conditions (Rain/High Winds):
    1. We will attempt to wait for a clear window within the booked timeframe.
    2. If operation remains unsafe, we will offer a reschedule or a pro-rated refund for the drone portion of the service.

6. DELIVERABLES, TIMELINES, AND REVISIONS

  • Instant Reels: Edited output is typically delivered within 10 to 60 minutes after the shoot concludes, provided there is stable internet connectivity at the venue.
  • Weddings/Events:
    • Teaser/Highlight: Delivered within 7 days.
    • Final Films & Photographs: Delivered within 30–45 days, depending on the package selected.
  • Revisions:
    • "Instant" services include one (1) round of immediate, minor revisions (e.g., music change, color tweak) on-location.
    • Post-event editing changes for Weddings are limited to two (2) rounds of feedback. Additional changes will be billed at our standard hourly editing rates.

7. CONTENT RETENTION AND STORAGE

  • Client Responsibility: It is the Client's sole responsibility to download and backup all delivered content immediately upon receipt.
  • Deletion Policy:
    • Raw Data: Retained for 30 days from the event date.
    • Edited Data: Retained for 6 months from the event date.
  • After these periods, FrameX permanently deletes the data from its servers to maintain system efficiency. We are not liable for data loss after these retention periods.

8. INTELLECTUAL PROPERTY AND USAGE RIGHTS

  • License to Client: Upon full payment, FrameX grants the Client a perpetual, non-exclusive, non-transferable license to use the photos and videos for personal purposes (e.g., social media posting, home printing).
  • Commercial Use: Using the content for commercial advertising or resale is prohibited unless a "Commercial Release" is purchased separately.
  • FrameX Rights: Unless a "Privacy Add-on" is purchased in advance, FrameX reserves the right to use selected low-resolution watermarked images or footage from the event for its own portfolio, website, and social media marketing.

9. CLIENT CONDUCT AND CREATOR SAFETY

FrameX maintains a Zero Tolerance Policy regarding harassment. You agree to provide a safe working environment for our Creators.

  • If a Creator is subjected to verbal abuse, physical harassment, sexual harassment, or unsafe demands by the Client or their guests, the Creator reserves the right to terminate the shoot immediately and leave the premises.
  • In such cases, full payment will be forfeited, and no refund will be issued. FrameX also reserves the right to pursue legal action.

10. LIMITATION OF LIABILITY

  • Technical Failure: In the unlikely event of a technical catastrophe (e.g., camera malfunction, corrupt memory card, theft of equipment), FrameX's liability is strictly limited to a full refund of the monies paid. We are not liable for any consequential damages, emotional distress, or loss of reputation.
  • Third-Party Acts: FrameX is not liable for delays or failures caused by third parties, venue restrictions, or power failures at the event location.

11. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Warangal, Telangana.
